These Terms of Use (“Terms”) are a legally binding contract between you and Govstream.ai, Inc., a Delaware corporation (“Govstream,” “we,” “us,” or “our”), including its successors and assigns. These Terms apply to your access to and use of Govstream’s websites (including www.govstream.ai), mobile or web applications, administrative portals, AI-enabled tools, and all related products or services made available by Govstream (collectively, the “Platform”), whether you are (i) simply visiting our websites without an account (“Visitor”), (ii) an individual using the Platform to submit information or interact with AHJs (“Public User”), or (iii) an employee, contractor, or other representative of an AHJ Client authorized to access the Platform on its behalf (“AHJ User,” and together with Visitors and Public Users, “Users”).
If you are accessing or using the Platform on behalf of an AHJ Client (as defined below), you represent and warrant that you are an authorized representative of that AHJ Client and that you have authority to bind that AHJ Client to these Terms to the extent they apply. By accessing or using the Platform, you acknowledge and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.
1. Purpose; User Types; No Legal or Professional Advice.
Govstream provides a technology platform used by certain authorities having jurisdiction (“AHJs”) to manage permit applications, reviews, approvals, and related communications (collectively, “AHJ Clients”). The Platform allows:
Public Users to submit applications, forms, requests, payments, and other information to AHJ Clients and to view status updates and communications;
AHJ Users (i.e., authorized employees, contractors, or agents of AHJ Clients) to review, process, and manage such submissions and related workflows; and
Visitors to access information about Govstream and the Platform.
Govstream is not an AHJ. Govstream does not (and has no authority to) issue permits, licenses, approvals, legal determinations, regulatory interpretations, or any other official decision. Govstream does not guarantee that any Public User will obtain a permit, approval, or other outcome through use of the Platform and Govstream is not liable for any failure to obtain a permit, approval, or other outcome through use of the Platform or for the failure of any application or request to be submitted. Govstream does not provide legal, regulatory, compliance, engineering, or other professional advice, and nothing on or generated by the Platform (including any AI Features, as defined below) should be construed as constituting such advice. Users are solely responsible for obtaining qualified professional advice where needed. It is not recommended for Users to rely solely on the Platform for the submission or approval of applications or requests for permits, licenses, approvals, legal determinations, regulatory interpretations, or any other official decision.
2. AHJ Clients and Authorized AHJ Users.
Each AHJ Client is responsible for designating and managing its AHJ Users and for all actions taken by its AHJ Users on or through the Platform. AHJ Users may access and use the Platform solely (i) as authorized by the applicable AHJ Client and Govstream, and (ii) for the AHJ Client’s internal governmental purposes. AHJ Users must not use the Platform for personal purposes unrelated to their role with the AHJ Client or share credentials with unauthorized individuals. If Govstream has entered into a separate written agreement with an AHJ Client governing that AHJ Client’s access to or use of the Platform (each, a “Customer Agreement”), the Customer Agreement controls in the event of a conflict with these Terms, but only as between Govstream and that AHJ Client. For all Users, including AHJ Users, these Terms apply to individual access and use of the Platform except to the extent expressly superseded by a Customer Agreement.
3. Permitted Use and Use Restrictions.
Users may use the Platform (including any Govstream websites) only for its intended purposes, consistent with these Terms and all applicable laws. The following activities are expressly prohibited and Users shall not:
Submit or transmit unlawful, misleading, inaccurate, fraudulent, or unauthorized content;
Submit content that is defamatory, obscene, harassing, discriminatory, threatening, or otherwise objectionable;
Use the Platform to interfere with governmental processes, including by making frivolous, abusive, or duplicative submissions;
Impersonate any person or entity, including AHJ Client personnel, or misrepresent your affiliation;
Access or attempt to access any AHJ Client data, user account, or system for which you do not have authorization;
Modify, reverse engineer, decompile, or attempt to derive source code from any part of the Platform;
Use automated scripts, bots, scrapers, or other tools to extract platform data;
Transmit viruses, worms, or harmful code;
Use the Platform in a manner that degrades system performance or interferes with any User’s experience;
Send “spam,” unsolicited messages, or promotional communications through the Platform;
Resell or sublicense access to the Platform without Govstream’s express written consent;
Use the Platform in any manner detrimental to Govstream, AHJ Clients, or other Users.
Govstream may suspend or terminate your access for violations of these Terms, misuse of the Platform, or at the direction of an AHJ Client.
4. User Content.
“User Content” includes any information, data, submissions, documents, messages, uploads, prompts, communications, or materials you submit through the Platform. You are solely responsible for the accuracy, completeness, and legality of such User Content, for ensuring you have all necessary rights and permissions to submit information regarding third parties, and for any consequences resulting from your User Content. User Content may become part of governmental records and may be accessible to AHJ Clients, subject to applicable disclosure laws (including public records acts), and Govstream does not determine what information is subject to such disclosure. By submitting User Content, you grant Govstream a worldwide, royalty-free license to use, process, store, reproduce, transmit, display, and distribute such User Content as necessary to operate the Platform and provide services to you or to AHJ Clients; to share such User Content with the applicable AHJ Client or other parties as authorized by the Platform’s functionality; and to use de-identified or aggregated User Content to maintain, improve, and develop Govstream’s systems, including AI Features. Govstream may preserve or disclose User Content if required by law or pursuant to an AHJ Client’s lawful request, and AHJ Clients, not Govstream, determine whether User Content constitutes a public record, whether it must be disclosed under public-records or freedom-of-information laws, and how long such information must be retained. Govstream may be required to preserve or disclose User Content at the direction of an AHJ Client or under applicable law.
5. Usage Monitoring.
Govstream shall not be responsible for pre-screening, policing, monitoring, or editing any User Content. Govstream shall have the right, but not the obligation, to monitor User Content and use of the Platform to measure and improve its performance, for training purposes, for legal and regulatory requirements, to determine compliance with these Terms and other applicable policies and procedures of Govstream, and for other business purposes.
6. Proprietary Rights.
The Platform, including all content, features, functionality, software, designs, text, graphics, and the Govstream name, trademarks, service marks, logos, and all related intellectual property, are owned by Govstream or its licensors and are protected by applicable intellectual property laws. Except as expressly permitted in these Terms, you may not, and you agree not to: (a) copy, reproduce, publicly perform, publicly display, or otherwise use any Govstream trademarks, service marks, names, logos, or any content, design, or layout of the Platform; (b) rent, lease, lend, sell, sublicense, distribute, or otherwise exploit or transfer the Platform (in whole or in part); (c) provide access to or permit any third party to use the Platform via timesharing, service bureau, or similar arrangements; (d) assign, transfer, or delegate any rights granted to you under these Terms; (e) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform; (f) modify or create derivative works of the Platform; (g) copy the Platform or any related documentation; or (h) remove, alter, or obscure any proprietary notices or labels contained in or on the Platform.
7. AI-Enabled Tools and Automated Features.
The Platform includes automated tools, generative AI assistants, natural-language processing features, or predictive models (“AI Features”). By using AI Features, you acknowledge and agree that:
AI outputs may be inaccurate, incomplete, or reflect model limitations;
AI outputs are generated based on patterns and not human review;
AI outputs do not constitute legal, regulatory, or professional advice;
You are solely responsible for reviewing, validating, and relying upon any AI outputs;
AI Features may use your User Content to generate responses and to improve system performance (in de-identified or aggregated form unless otherwise agreed with an AHJ Client).
You must not use AI Features to generate unlawful content, circumvent government processes, provide unauthorized advice to others, or mislead any person or entity. Govstream does not guarantee the accuracy, completeness, suitability, or lawfulness of any AI output and shall not be liable for any decision, action, or failure to act based on AI-generated content.
8. Violations.
You are solely responsible for ensuring that your use of the Platform complies with these Terms (including all applicable laws, rules, and regulations). Govstream retains the right, at its sole discretion, to determine whether or not your conduct is consistent with these Terms. Govstream may immediately suspend, restrict, or terminate and remove your account, including your access and use of the Platform, if Govstream determines that have violated these Terms. Govstream reserves the right to seek all other remedies available at law and in equity for violations of these Terms, including damages and obtaining preliminary and other injunctive relief and specific performance of these Terms.
9. Indemnification.
You shall defend, indemnify, and save harmless Govstream, including Govstream’s officers, directors, employees, affiliates, agents, and representatives (collectively, the “Indemnified Parties”), against any and all claims, liabilities, judgments, damages, and costs and expenses (including reasonable attorneys’ fees) incurred by the Indemnified Parties in connection with any action in law, equity, or otherwise, to which the Indemnified Parties may be a party, or may be threatened, by reason of your use of the Platform and/or any breach of these Terms. You acknowledge and agree that Govstream shall have the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. For the avoidance of doubt, this Section 9 applies to Users in their individual capacity and does not limit or expand any indemnification obligations set forth in an applicable Customer Agreement between Govstream and an AHJ Client.
10. User Requirements.
You agree to provide accurate and complete information when registering for or using the Platform, and to update and maintain such information. You are prohibited from using or registering for the Platform if you are under the age of eighteen (18). You are responsible for protecting the user names and passwords associated with your accounts with Govstream. You shall be liable for any and all uses of the Platform through your accounts, even if such use is by a party other than you. You agree to immediately notify Govstream of any loss, compromise, or unauthorized use of your user names or passwords or any other breach of security with respect to your accounts. In addition to all other rights and remedies, Govstream may immediately suspend, restrict, or terminate and remove your account, including your access and use of the Platform, if Govstream has reason to believe that you have failed to comply with these requirements. If you are an AHJ User, you may only use the Platform within the scope of your authorization from the applicable AHJ Client, and solely for the AHJ Client’s internal governmental purposes. The applicable AHJ Client is responsible for all actions taken under its accounts, including by its AHJ Users, and for ensuring that its AHJ Users comply with these Terms and any applicable Customer Agreement.
11. Changes to Platform.
Subject to any applicable Customer Agreement, Govstream reserves the right to change the prices, specifications, or options for Govstream’s Platform at any time without obligation. You agree that Govstream may limit your use of the Platform, including without limitation the frequency of your use of the Platform, and that Govstream has no responsibility or liability for any unavailability or limitation on your use of the Platform. In addition, Govstream reserves the right at any time to limit access to, modify, change, or discontinue the Platform, or any part thereof, with or without notice. Govstream shall not be liable to you or to any other party for any modification, suspension, unavailability, or discontinuance of the Platform.
12. Privacy and Disclosure.
Govstream’s collection, use, and disclosure of personal information in connection with the Platform are described in Govstream’s Privacy Policy. Govstream may make your identifiable information available to its employees, contractors, service providers, and AHJ Clients as necessary to operate the Platform, comply with law, and fulfill AHJ Client directions. You acknowledge that (i) User Content may become part of governmental records and may be disclosed by AHJ Clients in accordance with applicable public-records, freedom-of-information, or similar laws, and (ii) email and internet transmissions may not be secure. You should consider this before transmitting any sensitive or confidential information via the Platform or email.
13. Links.
The Platform may contain links to websites or services operated by other parties. Govstream has no control over such linked sites and is not responsible for the content or services available on any other sites linked to Govstream’s Platform. Such links do not imply Govstream’s endorsement of material on any other site, and Govstream disclaims all liability with regard to your access to such linked sites. Govstream provides links to other sites as a convenience to users, and access to any other sites linked to the Platform is at your own risk.
14. NO WARRANTIES.
YOUR USE OF THE PLATFORM (INCLUDING ANY AI FEATURES) IS AT YOUR SOLE RISK. THE PLATFORM IS PROVIDED ON AN “AS IS,” “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, DATA ACCURACY, SYSTEMS INTEGRATION, OR QUIET ENJOYMENT. GOVSTREAM DOES NOT WARRANT THAT THE PLATFORM, ANY AI-GENERATED OUTPUT, OR ANY INFORMATION OR CONTENT PROVIDED BY AHJ CLIENTS OR OTHER USERS WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. GOVSTREAM MAKES NO WARRANTY REGARDING THE COMPLETENESS, TIMELINESS, OR RELIABILITY OF THE PLATFORM OR ANY AHJ CLIENT WORKFLOWS OR DATA ACCESSED THROUGH THE PLATFORM. GOVSTREAM DOES NOT WARRANT THAT USE OF THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE PLATFORM WILL MEET ANY USER’S REQUIREMENTS OR EXPECTATIONS. YOU ARE RESPONSIBLE FOR VERIFYING ANY AND ALL INFORMATION OBTAINED FROM OR THROUGH THE PLATFORM BEFORE RELYING ON IT AND FOR TAKING ALL NECESSARY PRECAUTIONS TO PROTECT AGAINST VIRUSES AND OTHER POTENTIALLY HARMFUL MATERIALS. AHJ CLIENTS ARE SOLELY RESPONSIBLE FOR AHJ DECISIONS, PUBLIC-RECORDS DETERMINATIONS, AND ANY CONTENT OR ACTIONS TAKEN THROUGH THEIR USE OF THE PLATFORM.
15. LIMITATION OF LIABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOVSTREAM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR DAMAGES RESULTING FROM RELIANCE ON OR USE OF THE PLATFORM), WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR OTHERWISE, EVEN IF GOVSTREAM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GOVSTREAM SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM OR RELATED TO: (A) AHJ ACTIONS OR DECISIONS; (B) PUBLIC-RECORDS OR DISCLOSURE REQUIREMENTS; (C) ANY CONTENT OR DATA PROVIDED BY AHJ CLIENTS OR OTHER USERS; (D) AI-GENERATED OUTPUT OR AUTOMATED PROCESSING; OR (E) DELAYS, INTERRUPTIONS, OR FAILURES OF THE INTERNET, TELECOMMUNICATIONS PROVIDERS, OR THIRD-PARTY SYSTEMS. IF, NOTWITHSTANDING THE FOREGOING, GOVSTREAM IS FOUND LIABLE FOR ANY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, GOVSTREAM’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES ACTUALLY PAID BY YOU (IF ANY) FOR THE APPLICABLE PORTION OF THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, AND IF NO FEES WERE PAID, SHALL NOT EXCEED FIVE HUNDRED DOLLARS ($500.00). ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED. NOTHING IN THIS SECTION LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. AS BETWEEN GOVSTREAM AND ANY AHJ CLIENT, THE LIMITATIONS OF LIABILITY SET FORTH IN AN APPLICABLE CUSTOMER AGREEMENT SHALL CONTROL IN THE EVENT OF ANY CONFLICT WITH THIS SECTION 15.
16. Force Majeure.
You acknowledge and agree that the Platform may be interrupted or unavailable due to events outside Govstream’s control, including but not limited to work stoppages or other labor difficulties; inability to obtain necessary materials, components, or labor; wars; national emergencies; natural disasters; utility failures; third-party systems or network outages; governmental regulations; riots; adverse weather; pandemics; and other causes not within Govstream’s control (collectively, “Force Majeure Events”). Govstream shall have no liability for such Force Majeure Events.
17. Governing Law.
The laws of the State of Washington shall govern these Terms, without reference to its choice of law rules.
18. ARBITRATION.
EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW OR EXPRESSLY PROVIDED OTHERWISE IN A CUSTOMER AGREEMENT, ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS AND/OR THE PLATFORM THAT ARE NOT RESOLVED BY MUTUAL AGREEMENT SHALL BE SUBMITTED TO FINAL AND BINDING ARBITRATION BEFORE THE KING COUNTY, WASHINGTON OFFICE OF JAMS OR ITS SUCCESSOR (THE “ARBITRATOR”), OR AN ALTERNATE ARBITRATOR SELECTED BY GOVSTREAM IF JAMS OR ITS SUCCESSOR IS NOT AVAILABLE, PURSUANT TO THE UNITED STATES ARBITRATION ACT, 9 U.S.C. § 1 ET SEQ. EITHER PARTY MAY COMMENCE THE ARBITRATION PROCESS BY FILING A WRITTEN DEMAND FOR ARBITRATION WITH THE ARBITRATOR, WITH A COPY TO THE OTHER PARTY. THE ARBITRATION WILL BE CONDUCTED IN ACCORDANCE WITH THE ARBITRATOR’S COMPREHENSIVE ARBITRATION RULES AND PROCEDURES IN EFFECT AT THE TIME OF FILING OF THE DEMAND FOR ARBITRATION. THE PARTIES WILL COOPERATE WITH THE ARBITRATOR AND WITH ONE ANOTHER IN SELECTING AN INDIVIDUAL FROM THE ARBITRATOR’S PANEL OF NEUTRALS AND IN SCHEDULING THE ARBITRATION PROCEEDINGS. THE ARBITRATOR’S RULING SHALL BE FINAL AND BINDING AND MAY BE ENFORCED IN ANY COURT OF COMPETENT JURISDICTION. NOTWITHSTANDING THE FOREGOING, GOVSTREAM SHALL HAVE THE RIGHT TO COMMENCE AN ACTION FOR PRELIMINARY OR OTHER INJUNCTIVE RELIEF, OR FOR SPECIFIC PERFORMANCE OF THESE TERMS, IN A STATE OR FEDERAL COURT OF COMPETENT JURISDICTION LOCATED WITHIN KING COUNTY, WASHINGTON.
19. Attorneys’ Fees.
If Govstream brings any action to enforce these Terms, the prevailing party in such action shall be entitled to recover reasonable attorneys’ fees and costs incurred in connection with such action, whether in arbitration, pretrial, trial, appeal in any proceeding including bankruptcy, or in any action to enforce a judgment or award.
20. Notices.
You agree that Govstream may communicate any notices to you, including notices of changes to these Terms, through e-mail, regular mail, or by posting of those notices on the Platform.
21. No Waiver; Severability.
Any failure by Govstream to exercise any rights or enforce any of the provisions of these Terms shall not constitute a waiver of such rights or provisions. If any portion of these Terms is found by an arbitrator or a court of competent jurisdiction to be invalid, such arbitrator or court is hereby authorized to amend such provision so that it will be enforceable to the fullest extent permitted by law. All other provisions of these Terms shall remain in full force and effect.
22. Privacy Policy.
In addition to these Terms, access and use of the Platform are subject to Govstream’s Privacy Policy.
23. Changes to Terms.
Govstream reserves the right, at its sole discretion, to change, modify, add, or remove any portion of these Terms, in whole or in part, at any time. Notification of changes to these Terms will be communicated as provided in Section 20 above. Amendments to these Terms will be effective upon notice. Your continued access and use of the Platform following notice of any amendment shall constitute your acceptance thereof.
